		<description><![CDATA[Updated at 11:53am Eastern with Justice Department press release and statement from AT&#38;T&#8230; The Justice Department has filed an antitrust complaint against AT&#38;T in the hopes of preventing the $39 million T-Mobile-AT&#38;T merger proposed earlier this year. The filing states that, &#8220;AT&#38;T’s elimination of T-Mobile as an independent, low- priced rival would remove a significant competitive force from the market&#8221; and &#8220;substantially lessen competition,&#8221; as reported by Bloomberg. (MORE: What the AT&#38;T &#38; T-Mobile Acquisition Means for Everyone) The initial merger documentation filed back in April found the rationale behind the acquisition of T-Mobile to be because AT&#38;T, in its own words, &#8220;faces network spectrum and capacity constraints more severe than those of any other wireless provider, and this merger provides by far the surest, fastest, and most efficient solution to that challenge.&#8221; Perhaps anticipating the Justice Department&#8217;s filing, AT&#38;T recently announced that the acquisition of T-Mobile would bring some 5,000 jobs back to the U.S. that had been &#8220;outsourced abroad,&#8221; according to the New York Times. T-Mobile is the nation&#8217;s fourth-largest wireless provider. AT&#38;T, of course, has been staunchly defending the merger, while the nation&#8217;s third-largest wireless carrier, Sprint, has been a vocal opponent of the deal, saying that it &#8220;would reverse nearly three decades of actions by the U.S. government and the courts that modernized and opened U.S. communications markets to competition.&#8221; A report from back in May posited that should the deal fall through, T-Mobile could stand to walk away with up to $6 billion as part of a &#8220;break up fee,&#8221; although that figure now reportedly hovers closer to $7 billion. 		<description><![CDATA[Google&#8217;s been on a bit of an acquisition spree this year. They purchased AdMeld back in June for $400 million, and more recently, Motorola Mobility for a reported $12.5 billion. Moves like these, of course, point to strategies the search giant is likely to implement in the near future, and perhaps more importantly, what areas of the market it&#8217;s looking to compete in. (Acquiring Motorola Mobility&#8217;s hardware points the cross-hairs squarely on Apple and the iPhone, for example.) Facebook, however, isn&#8217;t idling by. According to a new Bloomberg report, the 750 million-user social network is looking to acquire 11 new companies this year to help expand its user base. (LIST: 10 Things You Shouldn&#8217;t Do On Facebook) “Two years ago we didn’t have a track record in acquisitions,” says Vaughan Smith, Facebook’s director of corporate development. “While we expected them to work well, it was still a crapshoot how they’d turn out. We’ve built a culture that supports entrepreneurs, and it’s working incredibly well.” Facebook has already acquired five companies so far this year: Notably Beluga, a group messaging service that served as the backbone for the company&#8217;s new Messenger app, and Snaptu, a mobile app developer based in Israel. The company is guessed to have recorded $2 billion in earnings before taxes, depreciation and amortization this year, not to mention that it&#8217;s managed to raise another $2 billion from investors. The company is estimated to be worth anywhere from $50 to $70 billion dollars. Facebook also stirred up some news when it announced a partnership with Skype to better integrate video chat into the service. Skype also recently acquired GroupMe, a group messaging service. So if Facebook&#8217;s goal is to increase its user base — supposedly to hit the one billion user mark — what kind of new services would it need to incorporate? It recently gave its gaming pages a facelift, but that seems more of a ploy to keep already-entrenched users who play games on the site longer. 		<description><![CDATA[Call it a win-win for T-Mobile, as Reuters is reporting that AT&#38;T may have promised to slide T-Mo a cool $6 billion if the $39 billion mega-merger announced earlier this year doesn&#8217;t make it past regulatory approval. Reuters quotes &#8220;two sources who asked not to be named,&#8221; so take this information with a spoonful of skeptic syrup if you like, but the &#8220;break-up fee&#8221; would apparently guarantee T-Mobile $3 billion in cash, $2 billion in air space (spectrum), &#8220;and a roaming agreement valued at $1 billion,&#8221; says Reuters. A Senate subcommittee hearing earlier this week found the CEOs from AT&#38;T and T-Mobile defending the proposed merger against complaints from Sprint and concerns from subcommittee members that the deal could pave the way for decreased competition, higher prices, and antitrust issues. 		<description><![CDATA[Sprint and T-Mobile may be discussing the possibility of a merger wherein Deutsche Telekom-owned T-Mobile USA would be sold to Sprint &#8220;in exchange for a major stake in the combined entity, said people with knowledge of the matter,&#8221; reports Bloomberg. The negotiations have apparently &#8220;been on and off, and a deal may not be reached,&#8221; according to Bloomberg&#8217;s sources. One of the sticking points may be T-Mobile&#8217;s overall value in the face of downward-sliding profits. Sprint and T-Mobile are the third- and fourth-largest mobile operators in the U.S., respectively, behind Verizon and AT&#38;T. While a representative from Sprint declined to comment on the story, Deutsche Telekom CFO Timotheus Hoettges told Bloomberg regarding T-Mobile, &#8220;In general, all options are open in the U.S.—the sale of the whole business or of parts.&#8221; A merger of this size would certainly benefit Sprint and T-Mobile, as it&#8217;d give the combined entity the subscriber numbers and nationwide cellular coverage needed to compete more aggressively with Verizon and AT&#38;T. It&#8217;d be interesting to see how a Sprint-T-Mobile 4G strategy would take form, as well. Sprint currently has its WiMax network, but CEO Dan Hesse has indicated that the company may add the competing LTE standard in the future. Meanwhile, T-Mobile&#8217;s 4G HSPA+ network blankets 100 markets already and offers peak theoretical download speeds that eclipse WiMax. Both companies operate on different base cellular standards, too: Sprint uses CDMA, T-Mobile uses GSM. So current handsets on each network wouldn&#8217;t be interoperable with the other, and a newly-joined entity would likely have to choose a single standard sooner or later. Until then, it stands to reason that the two brands would continue to operate distinctly as far as consumers are concerned. The biggest question is whether or not a Spint and T-Mobile merger would be good for customers. In theory, overall coverage would be better and device selection would be better. Online dating site Match.com has bought OkCupid for $50 million cash, according to a statement released today. Lonely people can now rejoice knowing that there&#8217;s more lonely people on their network to make a connection with. &#8220;We know that many people who start out on advertising-based sites ultimately develop an appetite for the broader feature set and more committed community, which subscription sites like Match.com and Chemistry.com offer, creating a true complimentary relationship between our various business models,&#8221; chief executive of IAC Greg Blatt said in the statement. The mostly free OkCupid has about 3.5 million users who peruse its blogs, quizzes and surveys and appeals to generally younger daters, compared to the monster Match.com, a pay-to-use site that pairs people up from over 5.8 million users. No word on how the pay model will change now that the companies have merged. OkCupid co-founder and CEO Sam Yagan will stay on to help manage the site.
